Dear PNCWA Members,

On Tuesday, September 10th, the PNCWA Board will ask those of you in attendance at the Business Luncheon, which serves as the Association's Annual Meeting, to vote on proposed changes to the PNCWA Constitution. This serves as your 30-day notice, as required by PNCWA's Constitution and Bylaws. The PNCWA Board will also vote on proposed changes to the PNCWA Bylaws, and the Board welcomes your comments on the proposed changes. This also serves as your 30-day notice.

The proposed changes fall into one of four categories, which are described below:

  • Substantive Changes. An example of this is the addition of a new position to the Board, the Young Professional Representative, which is identified in Article 6.2.9 of the Constitution and Article 4.1.8 of the Bylaws. Another example is Article 4.1.7.7 of the Bylaws, which explains what financial information is presented at the Annual Meeting.
  • Grammatical Changes. These are changes that make sense from a grammatical perspective. An example of this is Article 1.4.1.1 of the Bylaws, where the word "is" needs to be inserted between the words "who" and "a".
  • Consistency Changes. These are changes that should be made to maintain consistency throughout the two documents, and/or to avoid confusion. An example of this is Article 8.1.2 of the Constitution, where the word "amendment" should replace the word "revision", since the Article under consideration is "Amendments". Another example is Article 4.1.9 of the Bylaws, where the duties and functions of the Board members are described. Regional Directors are identified as Board members in other parts of the Bylaws, but their duties and function were never defined. An example of a change made to avoid confusion is Article 11 of the Constitution, where the word "Director", which has multiple meanings in the document, has been replaced with the word "Indemnitee". Another example is Article 4.2 of the Bylaws, which now outlines the terms of office for the Secretary, the Regional Directors, and the Young Professional Representative (pending approval by PNCWA Members.)
  • Water Environment Federation Changes. These are changes recommended by WEF. An example of this is Article 2.1 of the Constitution, where the word "Federation" has been replaced with "WEF".

Please review the proposed amendments to the PNCWA Constitution and be prepared to vote on them at the Annual Meeting on Tuesday, September 10th. Please also provide any comments on the proposed amendments to the PNCWA Bylaws to the PNCWA Board by Friday, September 6th by emailing [email protected].
